wtxLabs Hub

Version 1.0. In effect from November 6, 2026. A church already using Sync stays under Sync’s own documents until it accepts these in the Hub, which it is asked to do from December 7, 2026.

Terms of Service — wtxLabs Hub, Sync, Shield and Tend

Part A. General terms

A1. Who these Terms are between

These Terms of Service govern access to and use of the wtxLabs Hub, wtxLabs Sync, wtxLabs Shield and wtxLabs Tend services (each an "App", together the "Services") provided by WTXLABS, LLC, a Georgia limited liability company ("Company," "wtxLabs," "we," "us," or "our"). The Services are software services provided and operated by WTXLABS, LLC.

The Services are offered to the church or ministry that accepts these Terms (the "Church," "you," or "your") conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms"). Please read these terms carefully, and keep a copy of them for your reference.

The person who accepts these Terms for the Church confirms that they have authority to bind the Church. The Church's Owner, an Admin or a Billing member may accept these Terms for the Church. Accepting them in the Hub is the same as accepting them in any App.

Churches that accepted Sync's own documents. A Church that accepted Sync's Terms and Conditions, AI Terms of Use and Data Processing Addendum at sync.wtxlabs.com stays under them until it accepts these Terms in the Hub (see C4). Other wtxLabs services. wtxLabs Watch, our client portal and back office, is not an App under these Terms. It keeps its own Terms at watch.wtxlabs.com/terms.

A2. What the Services are

  • The Hub (hub.wtxlabs.com) is the Church's wtxLabs account. It records who on the Church's team may sign in, their role, which Apps the Church has, and its bill. The Church's team signs in once, with Planning Center, and moves between Apps without signing in again.
  • Sync shows the Planning Center records the Church has already marked public (such as events with open signups, group listings and sermon media) as embeds on the Church's own website.
  • Shield shows the Church the screening status of the people who serve: background checks, child safety training, and who is scheduled to serve without them. It reads this from the Church's own Planning Center account.
  • Tend shows the Church the health of its Planning Center data, across the Planning Center products the Church uses (for example duplicates, missing households, people who can't be reached, giving records that need fixing, and setup that has gone stale), and engagement figures (such as check-ins, serving, groups, forms and registrations). It also reviews who has access to the Church's Planning Center.

Part C describes each App in more detail and lists the Church's own responsibilities for it.

Setting up a Church. While wtxLabs is not open for general sign-up, a Church can be set up only through a one-time invitation from wtxLabs. Each invitation lists the Apps the Church starts with.

A3. Your account, your team and roles

  • The Church's team members sign in with their own Planning Center login. wtxLabs never sees or stores a password.
  • The Hub has four roles: Owner, Admin, Billing and Member. A Church has at most one Owner at a time.
    • The Owner can do everything, including delete the Church's account.
    • The Owner, an Admin or a Billing member may accept these Terms and the Data Processing Addendum for the Church.
    • An Admin can manage people and app access and start a free trial, but cannot pay or change the plan.
    • Billing can pay, change the plan and start a free trial, but cannot manage people.
    • A Member can use the Apps they are given.
  • For each App, a person's access is None, Viewer, Manager or Admin, set on the Hub's People & access page. The Owner is always an Admin of every App.
  • The first eligible person to set up a new Church becomes its Owner after 72 hours. During that time the Church's billing contact can dispute the claim.
  • You are responsible for who you give access to, for keeping that list up to date, and for what your team does in the Services. Remove access in the Hub when someone leaves.
  • A person's Planning Center account must still be active for them to sign in. The Hub re-checks this with Planning Center every 15 minutes. If Planning Center says a person is no longer active, the Hub signs them out.

A4. The Planning Center relationship

Third Party Accounts. You will be able to connect your wtxLabs account to third party accounts, including Planning Center. By connecting Planning Center, you authorize wtxLabs to access and cache data your account is permitted to share, solely to provide the Services. You may revoke this authorization at any time. Revoking it stops the Apps reading from Planning Center. In Sync, revoking by disconnecting deletes cached records. In Shield and Tend it does not by itself delete what the App has already copied: deletion happens as A11 describes.

Your agreement with Planning Center is yours. Planning Center is the Planning Center Online service operated by Ministry Centered Technologies, Inc., with which the Church maintains its own separate agreement. Planning Center is not a Subprocessor of the Company. The Company retrieves data from Planning Center only under authorization the Church grants through OAuth.

Read only. The Apps only read from Planning Center. They never write to it. The only request they send is the sign-in step that Planning Center itself requires. The Hub asks Planning Center for the people scope only, and reads only the signed-in person's own profile and, on the People & access page, names looked up live.

Sync reads only the records the Church has designated as public in Planning Center (C4).

What Planning Center shows depends on you. Shield and Tend read through the Planning Center access of the person the Church nominates (the "sync account"). They can see only what that person can see. If that person loses access, or Planning Center is down or changes its service, the Apps may show old, partial or no figures. We are not responsible for Planning Center's availability, accuracy or changes.

Planning Center tells your admins. When an App connects or disconnects, Planning Center may notify the Church's Planning Center administrators. That is Planning Center's own behaviour.

The sentence "Not affiliated with or endorsed by Planning Center." is shown in each App's footer, as on Sync. It is not repeated in these Terms, because Sync's approved Terms do not carry it either.

A5. Acceptable use

No Unlawful or Prohibited Use. You are granted a non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms. As a condition of your use of the Services, you warrant to wtxLabs that you will not use the Services for any purpose that is unlawful or prohibited by these Terms. You may not use the Services in any manner which could damage, disable, overburden, or impair the Services or interfere with any other party's use and enjoyment of the Services. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Services.

In addition, you agree not to:

  • use the Services in breach of Planning Center's terms;
  • give access to anyone who is not part of the Church's staff, or one of its trusted volunteers, with a real need for it;
  • use what the Services show to harass or discriminate against any person, or to make an unlawful decision about them;
  • try to reach another church's data;
  • probe, scan or load-test the Services without our written permission;
  • upload anything to the Services (for example a training export) that you are not allowed to share, or that contains malware.

We may suspend access that breaks this section.

A6. Your data, privacy and the Data Processing Addendum

  • Privacy. Your use of the Services is subject to wtxLabs's Privacy Policy. Please review our Privacy Policy, which also governs the Services and informs users of our data collection practices. The Church acknowledges the Privacy Policy. It does not agree to it as a contract.
  • Data Processing Addendum. To the extent WTXLABS, LLC processes Personal Data on behalf of the Church in providing the Services, the Data Processing Addendum available at https://hub.wtxlabs.com/legal/dpa, identified by its applicable version number and effective date, is incorporated into and forms part of these Terms. If the Data Processing Addendum conflicts with these Terms concerning the processing of Church Personal Data, the Data Processing Addendum controls solely with respect to that conflict.
  • How the Church accepts. These Terms follow Sync's approved structure. One unticked box covers these Terms, which incorporate the Data Processing Addendum. The box names the Binding Arbitration and class-action waiver sections. The Privacy Policy is acknowledged, not agreed to.
  • Selling, advertising and AI. We do not sell or share Church data, process it for our own commercial purposes or for advertising, or combine it with other data except as needed to provide the Services. Clause 3.4 of the Data Processing Addendum sets this out. Shield, Tend and the Hub send nothing to any artificial-intelligence provider. Sync's optional website analysis is the one exception, and C4 describes it.

A7. Our intellectual property

All content included as part of the Services, such as text, graphics, logos, images, as well as the compilation thereof, and any software used in the Services, is the property of wtxLabs or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found in the Services. wtxLabs content is not for resale. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of wtxLabs or our licensors except as expressly authorized by these Terms.

The Services may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of wtxLabs and wtxLabs is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. wtxLabs is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by wtxLabs of the site or any association with its operators.

Certain services made available via the Services are delivered by third party sites and organizations. By using any product, service or functionality originating from the Services, you hereby acknowledge and consent that wtxLabs may share such information and data with any third party with whom wtxLabs has a contractual relationship to provide the requested product, service or functionality on behalf of the Services' users and customers. The third parties are named in the Privacy Policy and in Schedule 3 of the Data Processing Addendum.

A9. Liability disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SERVICES MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. WTXLABS, LLC AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SERVICES AT ANY TIME.

WTXLABS, LLC AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED IN THE SERVICES FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. WTXLABS, LLC AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WTXLABS, LLC AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SERVICES, WITH THE DELAY OR INABILITY TO USE THE SERVICES OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SERVICES, OR OTHERWISE ARISING OUT OF THE USE OF THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF WTXLABS, LLC OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICES, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICES.

In plain words: the Apps report what Planning Center holds. They do not check that it is right, and they are not advice. Part C says what that means for each App.

A10. Limitation of liability

EXCEPT FOR THE EXCLUSIONS BELOW, THE TOTAL AGGREGATE LIABILITY OF WTXLABS, LLC ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) AND THE TOTAL FEES PAID BY YOU TO WTXLABS, LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION IS CUMULATIVE AND NOT PER-INCIDENT; MULTIPLE CLAIMS DO NOT ENLARGE IT. THIS CLAUSE IS INDEPENDENT OF, AND SURVIVES ANY FINDING OF UNENFORCEABILITY IN, THE LIABILITY DISCLAIMER ABOVE.

THE FOLLOWING ARE EXCLUDED FROM THE FOREGOING CAP: (A) YOUR INDEMNIFICATION OBLIGATIONS UNDER THESE TERMS; (B) YOUR BREACH OF THE ACCEPTABLE USE SECTION, THE EMBED LICENCE IN C4, INTELLECTUAL PROPERTY RESTRICTIONS, OR PROHIBITED-USE WARRANTIES; (C) AMOUNTS YOU OWE FOR FEES; AND (D) LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, AND PERSONAL INJURY OR DEATH.

A11. Ending the Services, and your data afterwards

Termination/Access Restriction. wtxLabs reserves the right, in its sole discretion, to terminate your access to the Services and the related services or any portion thereof at any time, without notice, except as provided in B8 and B9.

What happens to the Church's data when an App or the account ends:

  • When an App stops being included in the Church's plan (the plan is cancelled, a trial or comp ends and is not replaced, or the last paid App is removed), Shield and Tend suspend the Church 30 days later. They delete the Church's data 30 days after that, in their nightly run. If the App is included again before the deletion, the Church is reactivated and nothing is lost. A payment that has failed does not start this clock: while the Church is past due, the App is paused but not counted as ended (see B8).
  • Deleting the Church's account (Owner only, approved first by the billing contact by email):
    • every subscription is cancelled at once, with no refund for the rest of the period (see B11);
    • Shield and Tend are told at once and suspend the Church;
    • the Owner has 30 days to cancel the deletion. Cancelling keeps the Hub account and the Hub's data. It does not restart billing, and it does not by itself keep Shield's or Tend's data: an App on a comp is served again at once, but for any other App the Church must start a plan that includes it before the 30 days from the request run out, or that App deletes its copy;
    • after 30 days, everything the Hub holds for the Church is deleted, except a record that the Church existed (its name is replaced and its dates are kept) and invoices (which Stripe keeps);
    • Shield and Tend delete their copy 30 days after they suspended the Church, in their nightly run, unless a plan or comp serves them again first.
  • An App Admin can delete an App's data at once from that App's Settings ("Delete this church's data" in Shield, "Delete Tend's data for this church" in Tend). The Admin must type the Church's name to confirm.
  • What an App keeps after deleting a Church's data: the Church's record, its activity log, and its list of staff. In Tend that list holds Planning Center ids only. Shield deletes its staff's names and email addresses in the same deletion as the Church's data.
  • Sync follows its own rules, set out in C4: cancelling stops the live embeds at the end of the paid period and keeps the Church's settings and designs; disconnecting Planning Center deletes the records Sync has copied.
  • No export. The Services do not provide a copy of the Church's data before deletion. Sync's approved documents give no export right either.

The following sections survive termination: A6 (as the Data Processing Addendum says), A7, A9, A10, A11, A13, A14, and payment of fees owed.

A12. Changes to these Terms or the Services

Changes to Terms. wtxLabs reserves the right, in its sole discretion, to change the Terms under which the Services are offered. The most current version of the Terms will supersede all previous versions. wtxLabs encourages you to periodically review the Terms to stay informed of our updates.

Each version is identified by its effective date. The Hub records the version the Church accepted, and asks the Church to accept again when the version changes. Changes to the Data Processing Addendum follow its clause 15.3: at least 30 days' notice by email for a change that materially reduces the Church's rights.

A13. Disputes and governing law

Documents Covered. The dispute-resolution and binding-arbitration provisions in these Terms apply to disputes arising out of or relating to these Terms, the Services, the Church's account or subscription, the Data Processing Addendum, Church Data, privacy or security obligations, payment, suspension, or termination.

Binding Arbitration. Except for an individual claim eligible for small-claims court and a request for temporary relief expressly permitted below, WTXLABS, LLC and the Church mutually agree that any dispute, claim, or controversy arising out of or relating to the Services, the Church's account or subscription, these Terms, the Data Processing Addendum, Church Data, payment, suspension, termination, or the parties' relationship will be resolved through final and binding arbitration rather than litigation in court.

Before commencing arbitration, the initiating party must provide written notice describing the dispute and requested relief. The parties will have 30 days after receipt of the notice to attempt an informal resolution.

Arbitration will be administered by the American Arbitration Association under its Commercial Arbitration Rules and conducted by one neutral arbitrator. The legal seat of arbitration will be Fulton County, Georgia, although proceedings may be conducted remotely.

If the designated administrator is unavailable or unwilling to administer the arbitration, the parties will attempt to agree on a substitute. If they cannot agree, either party may request appointment of a substitute by a court of competent jurisdiction.

To the fullest extent permitted by applicable law, each dispute will proceed only on an individual basis and not as a class, collective, consolidated, or representative proceeding. The Church and the Company each waive any right to bring or participate in a class, collective, consolidated, or representative action.

WTXLABS, LLC and the Church understand that arbitration replaces the right to have a covered dispute decided in court by a judge or jury. Each party waives the right to a jury trial for covered disputes.

Either party may bring an eligible individual claim in small-claims court. Either party may also seek temporary court relief when reasonably necessary to protect confidential information, intellectual-property rights, account security, Church Data, or the status quo while arbitration is pending.

Arbitration fees and costs will be allocated under the applicable arbitration rules, subject to applicable law.

A court proceeding permitted by this section, including a proceeding to compel arbitration or confirm, modify, or vacate an arbitration award, must be brought in a court of competent jurisdiction in Fulton County, Georgia.

If any portion of this section is found unenforceable, the remainder will continue to apply. This section survives cancellation, expiration, suspension, or termination of the Agreement.

Governing law and venue. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Georgia. For any matter that properly requires court involvement under the Binding Arbitration section above, you consent to the exclusive jurisdiction and venue of the courts of Fulton County, Georgia. This section does not limit the Binding Arbitration section, which governs the resolution of covered disputes. Use of the Services is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

A14. General

  • Electronic Communications. Using the Services or sending emails to wtxLabs constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email and in the Services, satisfy any legal requirement that such communications be in writing. Notices to the Church go by email to the Owner and the Church's billing contact.
  • Age. You must be 18 or older to use the Services. wtxLabs does not knowingly collect, either online or offline, personal information directly from persons under the age of thirteen. Information about children that a Church holds in Planning Center is covered by section X of the Privacy Policy and clause 12 of the Data Processing Addendum.
  • International Users. The Services are controlled, operated and administered by wtxLabs from our offices within the USA. If you access the Services from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the wtxLabs Content accessed through the Services in any country or in any manner prohibited by any applicable laws, restrictions or regulations.
  • Indemnification. You agree to indemnify, defend and hold harmless wtxLabs, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. wtxLabs reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with wtxLabs in asserting any available defenses.
  • Relationship, compliance, severability, entire agreement. You agree that no joint venture, partnership, employment, or agency relationship exists between you and wtxLabs as a result of this agreement or use of the Services. wtxLabs's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of wtxLabs's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Services or information provided to or gathered by wtxLabs with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the Church and wtxLabs with respect to the Services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the Church and wtxLabs with respect to the Services. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Part B. Billing

B1. Prices

AppMonthlyYearly
Sync$19$190
Shield$29$290
Tend$29$290
  • Prices are in US dollars. Yearly is ten times monthly.
  • Sync has been billed through the Hub since November 2026. A Sync Church keeps its price, card and renewal date from before the move.

B2. One subscription, one bill

Each Church has one subscription and one bill for all its paid Apps, on one billing period: monthly or yearly. Owner or Billing can switch between monthly and yearly in the Hub. The switch is prorated, charged at once, and shown before it is confirmed.

B3. Bundle discount

  • Two paid Apps: 10% off the whole subscription.
  • Three paid Apps: 20% off.
  • The discount is applied automatically, and changes when the number of paid Apps changes.
  • A free trial or a comp does not count as a paid App.
  • Other discounts, such as a promotion code entered at checkout, are kept alongside it.

B4. Adding and removing an App

  • Adding an App takes effect immediately. You are charged a prorated amount for the rest of the current billing period, shown to you before you confirm.
  • Removing an App takes effect at the end of the current billing period. The App keeps working until then. There are no partial refunds. You can undo the removal ("Keep") any time before the period ends.
  • Removing the last App ends the subscription at the end of the period.

B5. Free trials

  • Each App can be tried free for 30 days, once per Church.
  • A trial ends on its own. Nothing is charged at the end of a trial, even if a card is on file.
  • We email the billing contact 7 days and 1 day before a trial ends.
  • To keep an App, press Keep in the Hub. Keeping ends the trial that day and adds the App to the Church's plan that day, with a prorated charge shown first.
  • Owner, Admin or Billing can start a trial.

B6. Paying

  • Owner or Billing pays through Stripe's checkout page, by card or by ACH bank debit. Card and bank details are entered on Stripe's own pages and never reach wtxLabs.
  • ACH debit. If you pay by bank debit, you authorize Stripe, on our behalf, to debit your bank account for each bill under the mandate shown to you at checkout. Stripe records your authorization and emails you a confirmation.
  • Bills are charged in advance at the start of each billing period.
  • The Stripe billing portal, opened from the Hub, handles the payment method, invoices and receipts. Plan changes are made in the Hub, not in the portal.

B7. Tax

  • We do not charge sales tax on the Services.

B8. Failed payments

If a payment fails:

  • Day 0: we email the billing contact. The Apps keep working while Stripe retries the payment.
  • Day 7: a second email. Every App shows a reminder.
  • Day 12: a final reminder, naming the date the Apps will pause.
  • Day 14: the Apps pause. The Hub stays open, so the Church can still sign in, pay, and use Billing and Data & privacy. Nothing is deleted.
  • Day 21: if the Church also has Sync, Sync's public embeds stop (they keep showing until then).
  • About day 30: if Stripe's last retry fails, the subscription is cancelled. From then on the normal rules in A11 apply.

Each email links to Stripe's page for paying the open invoice, with no sign-in needed. Paying at any point ends the pause.

B9. Comps

wtxLabs may give a Church free use of an App (a "comp"), with or without an end date. A comp is not a subscription, so it is never charged. If a comp has an end date, we email the billing contact 14 days before it ends, and the Hub shows an alert. When a comp ends, the App stops unless the Church starts a plan for it. We may end a comp, or set an end date for one, by giving at least 14 days' notice by email, or at once if the Church breaks these Terms.

B10. Price changes

We may change prices. We will tell the Owner and the billing contact by email at least 30 days before a new price applies. A new price applies from the Church's next billing period after the notice period ends. If you do not want to pay it, remove the App before then.

B11. Refunds

We do not refund part-used periods. If we ever shut the service down, we will refund whatever you have paid for and not received. If the Church objects to a new Subprocessor and terminates under clause 6.3 of the Data Processing Addendum, it receives a pro-rata refund of prepaid fees.

Deleting the Church's account cancels every subscription at once, with no refund for the rest of the period (A11). Removing an App keeps it working to the end of the period (B4). Before deleting, the Church is warned: "Every subscription is cancelled at once, with no refund for the rest of the period."

Part C. Product schedules

Each schedule says what the App does, what it reads, and what the Church is responsible for. The Privacy Policy and the Data Processing Addendum give the full data detail.

C1. The Hub

What it does. Holds the Church's team, roles and app access. Signs the team in once, through Planning Center, for every App. Takes payment through Stripe. Holds the billing contact and the Church's acceptance of these documents. Shows a short daily "at a glance" line from each App (counts only). Shows standing alerts (for example a trial ending or a payment failing).

The Watch link. If the Church is also a client of wtxLabs's services, we may link its Hub account to Watch, our client portal. When the link is turned on, the Church's team can open the Watch portal through the Hub without a separate login. The Church decides on People & access who may open it. Watch's work is governed by Watch's own terms and the agreement for that work, not these Terms.

Help. When it is turned on, a person can ask wtxLabs for help from the Hub or an App, or ask their own Church's Owner to do a step.

Your responsibilities. Keep the Owner, the billing contact and the team list current. Keep the billing contact's email working: failed-payment, trial, comp and ownership notices go there.

C2. Shield

What it does. Shield reads from the Church's Planning Center: background-check records (status, dates and, for Protect My Ministry, its order id and sub-status); child safety training records (from Planning Center notes, a custom field, or a Protect My Ministry training export the Church uploads); whether a person is a child, active, and their membership word; and who is on or scheduled for each Services team. It shows who is serving without a current check or training, checks that are stalled or expiring, and a Reconcile list of places where Planning Center and the latest training export disagree.

Shield works with churches that screen through Protect My Ministry or through Planning Center's own Background Checks (provided by Checkr), and with checks recorded by hand. Shield does not connect to Protect My Ministry or Checkr. It reads only what they have written into the Church's Planning Center. It never reads or stores a background-check report, report link, score or certificate. Shield isn't affiliated with or endorsed by Protect My Ministry or Checkr, and it doesn't run background checks.

What Shield is not.

  • Shield is not a consumer reporting agency and does not furnish consumer reports. It does not order, run, score or decide background checks. Your screening provider does that, under its own terms with you.
  • The Church may use information shown in Shield only for its own screening purposes, as permitted under its agreement with its screening provider, and may not share it with any other church or organization. wtxLabs does not share screening information between churches.
  • Shield does not replace the Church's screening policy, its insurance requirements, or any legal duty to protect children and vulnerable people. It applies the rules the Church sets in its Settings (which teams need screening, the rescreen interval, whether training expires, and whether a minor's clearance runs to their eighteenth birthday). The Church decides those rules. Shield does not tell you what they should be.
  • A "cleared" or "trained" status in Shield means Planning Center (or the export) says so. It is not our verification. Before relying on it for a decision about a person, check the source record.
  • Any decision about who may serve (including any adverse action based on a background check) is the Church's alone, and must follow the law and your screening provider's process. The Church is responsible for following the law that applies to screening, including telling a volunteer when a check affects a decision about them.

Your responsibilities.

  • Have a lawful basis, and any consent or notice your provider or the law requires, for the screening data you keep in Planning Center.
  • Keep Shield's Settings true to your policy.
  • Upload only genuine training exports from your own provider account.
  • Tell us, or delete the person in Planning Center, when a person asks you to remove their data (the Privacy Policy explains how).

C3. Tend

What it does. Tend reads the Church's Planning Center People directory and, for each other Planning Center product the Church turns on in Tend (Services, Check-Ins, Registrations, Groups, Calendar, Giving, Publishing, and any product Planning Center adds), what it needs from that product to show:

  • data-integrity findings (likely duplicates, shared contact details, people with no household or no usable contact, contradictions against rules the Church writes, and, if an Admin turns Giving on, donor records that need fixing, such as a likely duplicate whose gifts are split or gifts on a child's or inactive record);
  • Cleanup: setup that has gone stale or needs attention, such as unused forms, lists, workflows, custom fields, teams, groups, events, rooms, funds or channels;
  • engagement figures (such as attendance, serving, group participation and next steps); and
  • Access & permissions: who has access to the Church's Planning Center apps, at what level, whether two-step verification is on, and signs of a shared login.

Not every feature is offered for every product; Tend's Settings show which products it reads. Tend reads a product only while the Church has turned it on and granted Planning Center access to it.

Tend does not store names, email addresses, phone numbers or addresses. It does store facts about each person by their Planning Center id (see the Privacy Policy). Names are shown live from Planning Center, only to Managers and Admins, with their own Planning Center access. Tend never reads notes, background checks, messages, form answers, a list's results, a workflow's cards, check-in medical or emergency-contact details, or payment details. From Giving it takes at most whether a person has given and the date of their most recent gift, and only if an Admin turns Giving on in Tend (it is off by default). It never takes an amount, a fund, a giving history or a payment method. Tend shows giving facts as counts, except on a cleanup list that names the record to fix. Tend never changes anything in Planning Center.

Before Tend begins reading a Planning Center product or category of data it has not read before for the Church, wtxLabs will notify the Church's Owner and Admins in the Hub or by email.

To turn Giving on, an Admin must tick this acknowledgment in Tend: "Tend will read whether each person has given and the date of their last gift. It never reads amounts, funds, history or payment methods."

What Tend is not.

  • Tend's engagement figures are counts of recorded activity. They are not a measure of anyone's faith, commitment or worth, and they are not pastoral judgments. A person with no recorded activity may be deeply involved in ways Planning Center does not record.
  • A "likely duplicate" is a suggestion. Tend never merges or changes records. Check before you merge anything in Planning Center.
  • The Access & permissions review is a starting point for your own security review, not a security audit or certification. A "shared-looking" account is a guess from a name pattern.

Your responsibilities.

  • Use Tend's figures and worklists for the care and administration of your church, not to single out, rank or penalize individuals.
  • Decide who on your team may see named worklists (Manager and Admin) and who sees figures only (Viewer).
  • Follow up any access finding in Planning Center yourself.

C4. Sync

What it does. wtxLabs Sync is a subscription software service for churches that use Planning Center. Once a church connects its Planning Center account, Sync displays information the church has already marked public in Planning Center - such as event signups, group listings, and sermon media - as embeddable widgets on the church's own website, refreshed automatically about every fifteen minutes. The church installs a single line of code on a website they control. Sync only ever reads from Planning Center and never writes back to it. Connecting and previewing is free; a paid subscription is required to publish live embeds on a website.

What Sync does not read. Sync retrieves only the Planning Center records the Church has designated as public. It does not retrieve the Church's people or member roster, group membership lists, individual check-in records, donation or donor records, form submission content, or private staff notes on service plans.

Embed Licence. Subject to your compliance with these Terms and an active paid subscription, wtxLabs grants you a limited, non-exclusive, revocable, non-sublicensable, non-transferable licence to embed and display the wtxLabs Sync widget (the "Embed") solely on internet domains that you own or control. This licence terminates automatically on cancellation, non-payment, or termination of your account. You may not copy, modify, reverse engineer, redistribute, resell, or create derivative works of the Embed, and you acquire no ownership rights in it. wtxLabs retains all right, title, and interest in the Embed and the Service.

Your website. wtxLabs is not responsible for your website, your hosting, or how the Embed interacts with any other code, plugin, theme, or service on your site. You are solely responsible for the lawful display of any data you choose to surface through the Embed, including obtaining any consent or authority required to publish it.

Cancelling and disconnecting. You will keep access to publish live embeds until the end of the billing period you have already paid for, after which the embeds stop appearing on your live site. Cancelling does not delete your account settings or designs, so you can resume later. Disconnecting Planning Center is separate from cancelling and does delete the records the Company has copied. A payment that fails stops the embeds on day 21 (B8).

Website analysis (AI). Sync offers an optional feature that analyzes a website whose address you supply. It retrieves that site's publicly available pages and stylesheets and derives a color and typography palette from them. The material retrieved and analyzed ("Input") consists of the site's address, page title and description, color and font declarations, and a limited excerpt of visible page text. Input is not metadata held on the Company's platform. You represent and warrant that you own the website submitted for analysis, or are authorized by its owner to submit it. The feature is provided using a third-party artificial intelligence provider, Anthropic, PBC, and Input is transmitted to that provider for processing. When the Service submits content to a third-party artificial-intelligence provider, the Company will process that content only for the purposes described in the Agreement and will use the privacy and data-use controls available under the Company's agreement with that provider. The Company will not independently use Church Personal Data or AI-generated output to train a general-purpose artificial-intelligence model.

The insights the feature produces ("Output") are derived from the Input. Ownership and intellectual property rights of the Output belong to the Church. Given the nature of machine learning, the Output may not be exclusive, and the feature might produce similar or identical results for other users. The feature uses experimental technology, and you should use discretion before relying on, publishing, or using its Output. The Company makes no guarantees regarding the accuracy, completeness, or usefulness of the Output.

Your responsibilities. Install the Embed only on domains you own or control. Mark public in Planning Center only what you are content to publish on your website. Disconnect Planning Center, or tell us, when a record should no longer be shown.

Moving from Sync's own documents. A Church that accepted Sync's Terms and Conditions (version 2026-08-18), AI Terms of Use and Data Processing Addendum (version 1.1) stays under them until it accepts these Terms once in the Hub. At that point the family Data Processing Addendum replaces Sync's. Because some changes reduce a Sync Church's rights (Schedule 1E of the Data Processing Addendum lists them), we give each Sync Church at least 30 days' notice by email before asking it to accept.
